1. About these terms

These terms apply to your use of the posemirates.com website and, together with any signed quotation, order or service agreement, to the supply of software subscriptions, licences, hardware and services by POS Emirates Trading LLC ("POS Emirates"). Where a signed agreement conflicts with these terms, the signed agreement prevails.

2. Website use

Content on this website is provided for general information about our products and services. Prices shown are indicative, in UAE dirhams, exclusive of VAT unless stated, and may change. You may not copy, scrape or reuse website content for commercial purposes without written permission.

3. Quotations and orders

Quotations are valid for 30 days unless stated otherwise. An order is accepted when we confirm it in writing or begin delivery. Hardware availability and lead times are confirmed at order. We may require a deposit before ordering hardware or scheduling installation.

4. Software subscriptions and licences

• Subscriptions are billed monthly or annually in advance and renew automatically until cancelled with 30 days' notice before the renewal date.
• Perpetual licences grant a non-exclusive, non-transferable right to use the software at the licensed sites; updates and support after the first year require an annual maintenance contract.
• Customers must not reverse engineer, resell or share access to the software, and are responsible for the security of their user accounts.
• We may suspend access for non-payment after written notice.

5. Hardware

Hardware is sold with the manufacturer's warranty, typically 12 months unless stated, and serviced by POS Emirates as an authorised partner. Warranty excludes physical damage, liquid damage, misuse and consumables such as paper and batteries. Risk passes on delivery; title passes on full payment.

6. Services

Installation, training, implementation and consulting are delivered as described in the quotation. Customers must provide site access, power, internet connectivity and the data required for setup. Additional work outside the agreed scope is quoted separately. Annual maintenance contracts define response times and coverage in their own schedule.

7. Payment

Invoices are payable within the period stated on the invoice, by bank transfer, card or other agreed method. VAT is charged at the applicable rate. Late payments may incur reasonable recovery costs and interest as permitted by UAE law.

8. Data

Customers own the business data they enter into our software. We process it only to provide and support the service, as described in our Privacy Policy. On termination, customers may export their data within 30 days, after which it may be deleted.

9. Compliance

Our billing software is designed to support UAE VAT and e-invoicing requirements. Customers remain responsible for configuring their tax settings correctly, for the accuracy of data entered and for their own tax filings. We recommend confirming tax treatment with a registered tax agent.

10. Limitation of liability

To the extent permitted by law, POS Emirates is not liable for indirect or consequential loss, including loss of profit or data, and our total liability under any order is limited to the amount paid for that order in the 12 months before the claim. Nothing limits liability that cannot be limited under UAE law.

11. Intellectual property

Software, documentation, designs and website content remain the property of POS Emirates or its licensors. Trademarks of hardware manufacturers belong to their owners.

12. Termination

Either party may terminate a subscription in accordance with clause 4. We may terminate for material breach not remedied within 30 days of notice. Termination does not affect amounts already due.

13. Governing law

These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, and disputes are subject to the jurisdiction of the Dubai courts.
